Business services
Get your business set up on paper, correctly.
Sai Print prepares the California formation documents for the structure you have chosen — LLC, S corporation, limited partnership or sole proprietorship — and files them for you with the Secretary of State and the county.
Limited Liability Company (LLC)
The most common choice for small California businesses. We prepare and file your Articles of Organization (Form LLC-1), help you obtain a federal EIN, prepare a written Operating Agreement from your instructions, and prepare the initial Statement of Information (Form LLC-12) due within 90 days.
- Articles of Organization filed with the California Secretary of State
- EIN application with the IRS
- Operating Agreement drafted to your instructions
- Statement of Information (LLC-12)
S Corporation
An S corporation is a tax election, not a separate entity type. We prepare and file Articles of Incorporation to form the corporation, prepare bylaws and organizational minutes from your instructions, obtain the EIN, and prepare the federal S-election (IRS Form 2553) and the Statement of Information (Form SI-550) for your signature.
- Articles of Incorporation filed with the Secretary of State
- Bylaws and first-meeting minutes
- EIN and IRS Form 2553 S-election prepared for signature
- Statement of Information (SI-550)
Limited Partnership (LP)
We prepare and file the Certificate of Limited Partnership (Form LP-1) with the California Secretary of State, prepare a written partnership agreement from the terms you and your partners have agreed on, and obtain the partnership EIN.
- Certificate of Limited Partnership (LP-1)
- Written limited partnership agreement to your instructions
- Partnership EIN
Sole Proprietorship
A sole proprietorship needs no state filing, but if you use a business name that is not your own legal name you must file a Fictitious Business Name Statement and publish it. We handle that end to end and can obtain an EIN if you plan to hire or open a business bank account.
- Fictitious Business Name Statement prepared and filed — see DBA filing
- Newspaper publication and proof of publication
- EIN application if needed
How the process works
You choose the structure
Decide with your accountant or attorney which entity is right for you. Bring that decision to Sai Print — we prepare documents, we do not choose the structure or give legal or tax advice.
We prepare the paperwork
We collect the names, addresses, ownership split and management terms you provide, and prepare every form and internal document for your review and signature.
We file with the state
We submit your filings to the California Secretary of State and, where required, the Sonoma County Clerk, and give you the stamped, filed copies.
You get your records
You leave with an organized set of formation documents, your EIN letter, and a checklist of the ongoing filings your entity will owe.
What to bring
- Valid government photo ID for each owner
- Proposed business name and business address
- Names and addresses of all owners, members or partners
- Ownership percentages and who will manage the business
- Registered agent name and California street address
State and county filing fees, the annual franchise tax and any expedite fees are set by the government and paid in addition to Sai Print’s preparation fee.
Important
Sai Print is not a law firm and Ronnie Deepak Rao is not an attorney. As a registered California Legal Document Assistant, Sai Print provides self-help document preparation at your specific direction. We cannot tell you which entity to form, how to allocate ownership, or how your choice will be taxed — those are decisions for you and your attorney or CPA.
